TERMS AND CONDITIONS FOR REFERRAL PROGRAM

This agreement is outlined to define the referral program between Formulations Products and Services, LLC and "Referring Party". Formulations Products and Services LLC will be referred to simply as Formulations in this agreement. "Referring Party" is used to describe each individual whom referrs a client to Formulations. Client is a term used to describe a person or entity other than "Referring Party" whose products are being produced by/through Formulations Products and Services LLC.

1. Formulations will pay a referral fee of 5% of order value to "Referring Party" for all orders placed directly with Formulations by client. The term "directly" is to be known as being billed by Formulations to the client. Orders for clients, which are billed from Formulations to "Referring Party", are not counted in this program. Copies of invoices to client can be requested by "Referring Party" however Formulations reserves the right to charge a fee for this service.

2. All orders, which are branded "Referring Party", are not subject to this program. No referral fee will be paid.

3. No additional fees or charges will be paid or reimbursed over and above the referral fee (i.e. sales support, consultation, etc.). Additional fees will be paid only in the event where Formulations requests the assistance of "Referring Party" in coordinating or consulting with client. In such instance Formulations will issue a purchase order to reflect request.

4. The referral fee will not be paid on orders that are sold to a reseller. Reseller is to be known as a person or entity that is selling a branded product which is not branded with their name, logo or other identifying marks and will sell product to another user.

5. This agreement expires one year from date shown above or as outlined in number 8.

6. This agreement is not transferable to any other party from either side.

7. Taxes on referral fees are the responsibility of "Referring Party".

8. Formulations Products and Services LLC reserves the right to cancel this agreement at any time.
